Terms and Conditions of Service

This document establishes the terms and conditions ("Terms") that govern access to and use of the SaaS service provided by Cyberwave S.p.a., with registered office at Piazzale Luigi Cadorna 4, 20123, Milan, VAT No. IT14305010960, contact email address info@cyberwave.com, ("Provider").
The use of the Service implies full and unreserved acceptance of these Terms by the User. If you do not intend to accept them, we invite you not to use the Service.
1. Service Description
The Provider makes available software accessible via the internet ("Service") that allows users to use the catalog of robotic assets, model and simulate robots, create and share their production line simulations.
2. Access Requirements
To use the Service, the User must register, provide accurate information, and maintain the confidentiality of their credentials. The User is responsible for all activities carried out through their account.
3. License of Use
The Provider grants the User a limited, non-exclusive, non-transferable, and revocable license to use the Service, exclusively for the purposes provided in these Terms.
It is prohibited to:
- Bypass or violate security systems or technical limitations.
- Access the source code or perform reverse engineering.
- Use the Service for illegal or harmful purposes.
4. Fees and Billing
Access to the Service may be free or paid. Paid plans, included features, and billing frequency are indicated on the Provider's website or in the dedicated commercial proposal.
Failure to pay will result in suspension or termination of the Service.
5. Duration and Withdrawal
The contract has an annual or monthly duration depending on the selected plan.
The User may withdraw at any time through the dashboard or by communicating their intention via email, with effect at the end of the current billing period.
6. Unilateral Withdrawal by the Provider
The Provider reserves the right to withdraw unilaterally from this contract, at any time and for any reason, upon written notice to the User with 15 days' notice. In serious cases (illegal use, violation of terms, reputational damage), the Provider may suspend or terminate the Service with immediate effect.
In the case of early withdrawal by the Provider and where the User has already paid an amount for the Service not yet used, the Provider may refund the proportional amount possibly due, unless otherwise provided.
7. Limitation of Liability
The Service is provided "as is" and "as available". The Provider does not guarantee the absence of interruptions, errors, or compatibility with specific requirements.
In no event shall the Provider be liable for indirect damages, data loss, business interruption, or economic damages resulting from use of the Service.
8. Intellectual Property
All rights relating to the Service, its content, trademarks, and code are the exclusive property of the Provider or its licensors. No rights are transferred to the User, except the limited right to use the Service according to these Terms.
9. Changes to the Terms
The Provider reserves the right to modify these Terms. Changes will be communicated with reasonable notice via email or notification within the Service. Continued use of the Service is equivalent to acceptance of the changes.
10. Applicable Law and Jurisdiction
These Terms are governed by Italian law. For any dispute, the Court of Milan shall have exclusive jurisdiction, except in cases where the User qualifies as a "consumer" under the Consumer Code.
